CareDesks provides technology services designed to assist businesses, including healthcare practices, with call handling, call routing, transcription, summarization, and related workflow automation.

Important Healthcare Notice:
CareDesks acts as a technology service provider. Clinics control how the Services are configured and used. CareDesks does not provide medical advice and does not replace professional judgment.

4. Use of Artificial Intelligence and Automation

The Services may use artificial intelligence and automated systems to analyze, transcribe, summarize, and route calls based on customer configuration.

You acknowledge and agree that:

  • AI-generated outputs are automated and may not be error-free

  • You are responsible for reviewing and validating outputs before relying on them

  • The Services are provided as operational support tools, not professional advice


5. Call Recording and Legal Compliance

If call recording features are enabled, you are solely responsible for:

  • Obtaining all required consents and providing all legally required disclosures

  • Complying with applicable federal, state, and local call recording laws

CareDesks does not monitor or ensure your compliance with recording laws.

6. Subscriptions, Billing, and Payments

Certain Services are offered on a subscription basis.

Billing

  • Subscription fees are billed in advance on a recurring basis (monthly or as specified)

  • You authorize us or our payment processor to charge your selected payment method

Automatic Renewal

Subscriptions automatically renew unless canceled before the end of the current billing period.

Failed Payments

If a payment fails, we may suspend or terminate access until payment is resolved.

7. Cancellations and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

Except where required by law, subscription fees are non-refundable.
Refund requests may be reviewed at our sole discretion.

8. Acceptable Use

You agree not to:

  • Use the Services for unlawful, deceptive, or harmful purposes

  • Interfere with or disrupt the Services or systems

If you provide feedback, suggestions, or ideas regarding the Services, you grant CareDesks a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without obligation.

11. Third-Party Services

The Services may integrate with or link to third-party services. CareDesks does not control and is not responsible for third-party services, content, or policies.

Your use of third-party services is subject to their respective terms.

12. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or misuse the Services.

Upon termination:

  • Your right to use the Services will immediately cease

  • Outstanding fees remain payable


13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREDESKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREDESKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

CARE DESKS’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CAREDESKS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless CareDesks from any claims, damages, liabilities, or expenses arising out of:

  • Your use of the Services

  • Your violation of these Terms

  • Your failure to comply with applicable laws


16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

You agree to attempt to resolve disputes informally by contacting CareDesks before pursuing legal action.

17. Changes to These Terms

We may modify these Terms from time to time. Updates will be posted on the Website with a revised “Last updated” date.

Continued use of the Services constitutes acceptance of the updated Terms.
